As of July 1, 2016, the new legislation comes into force that requires having a Certificate of representation that will replace the old Certificate of validity of the position of a legal entity. This is a consequence of the change in EU regulation 910/2014, which implies that starting next month, it will be necessary to have it to manage the renewal of your company’s Digital Certificate.

You must follow These three steps to obtain the Certificate of Representation.

1-Types of Certificate of Representation

You should know that there are three types, and they are the following:

  • Sole and joint and several Administration Representation Certificate: Representative certificates for sole or joint administrators are issued for the relationship of Legal Entities through its legal representatives in their relations with public administrations or in the contracting of their goods or services or concerning their ordinary business or traffic.
  • Certificate of Representation of a Legal Entity: This Certificate is issued to natural persons as representatives (when they are not sole or joint administrators) of legal entities to its use in its relations with those Public Administrations, Entities and Public Bodies, linked or dependent on them.
  • Certificate of Representation of an Entity without Legal Personality: This Certificate is issued to natural persons as representatives of entities without Legal Personality for its use in its relations with those Public Administrations, Entities and Public Bodies, linked or dependent on them.

2- Accreditation

In this step, you must be accredited by a registration agency of the AEAT, the government of Navarra, CNMV, or the career consular offices in Spain. With this step, you will be able to download the representation certificate.

3-Download the certificate of representation:

There are four ways to do it so you can choose the one that best suits you.

  • Application with FNMT natural person certificate: If you have a valid and unrevoked FNMT natural person certificate, you will be able to obtain your representative Certificate without having to go to a Registry Office to prove your identity.
  • Application with a class 2 CA FNMT legal entity certificate: If you have a valid and unrevoked CA FNMT Class 2 legal entity certificate, you can obtain your representative Certificate without having to go to an Office Registration to prove your identity.
  • Request with DNIe: If you have a valid and unrevoked DNIe, you can obtain your representative Certificate without having to go to a Registry Office to prove your identity.
  • Application without Certificate : If you do not have any of the certificates indicated in the previous options, you must choose this option and go to the corresponding Registry Office to prove your identity. IMPORTANT: Whenever you are registered in the Commercial Registry, you will receive a code, but you will only have to go to register if you are a Sole or Joint Administrator. Otherwise, your Certificate cannot be issued.

Remember that you cannot stop doing it since it is a mandatory measure.
