The recent <\/span>Royal Decree-Law 9\/2024 of 23 December<\/span><\/strong> further extends the exceptional regime. It suspends the grounds for company dissolution<\/strong><\/a> due to severe losses and prolongs its validity until the end of the financial year commencing in 2026.<\/span><\/p>\n

This measure, known as the <\/span>“corporate moratorium”<\/span><\/strong>, is part of a series of provisions adopted to mitigate the effects of recent economic crises.<\/span><\/p>\n

The main aspects of this regulation and its implications for commercial companies are analysed below.<\/span><\/p><\/div><\/div>

The <\/span>corporate moratorium<\/span><\/strong> allows commercial companies whose net assets have fallen below half <\/span>of<\/span> their share capital to avoid the obligation to dissolve or take immediate measures to restore their financial equilibrium. This temporary relief aims to prevent the liquidation of companies that, despite facing economic difficulties, have prospects of recovery in the medium term.<\/span><\/p>\n

Royal Decree-Law 9\/2024<\/span><\/strong> establishes that the extension applies to financial years <\/span>beginning<\/span> between <\/span>1 January 2024 and 31 December 2026<\/span><\/strong>. During this period, companies can focus on strengthening their financial position without the imminent risk of dissolution, provided they comply with their legal and accounting obligations.<\/span><\/p>\n

However, it is important to note that this extension <\/span>does not exempt<\/span><\/strong> companies from their responsibility to adopt corrective measures. They must take advantage of this period to restructure and ensure long-term viability. Likewise, <\/span>directors remain duty-bound<\/span><\/strong> to act diligently, safeguard the company’s and its creditors’ interests, and avoid situations that could exacerbate insolvency.<\/span><\/p>\n<\/div>

From an economic perspective, this measure seeks to <\/span>preserve the business fabric<\/span><\/strong> and protect employment in global uncertainty.<\/span><\/p>\n

However, it also sparks debate regarding its potential <\/span>negative consequences<\/span><\/strong>, such as the risk of perpetuating <\/span>unviable or “zombie” companies<\/span><\/strong>, which could distort competition and hinder economic growth.<\/span><\/p>\n<\/div>
